LICENSE AGREEMENT: IC2 (the “Software”) IMPORTANT: PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE. ECUTEL SYSTEMS, INC. ("ECUTEL") IS WILLING TO LICENSE THE SOFTWARE TO YOU AS THE INDIVIDUAL, THE COMPANY, OR THE LEGAL ENTITY THAT WILL BE UTILIZING THE SOFTWARE (REFERENCED BELOW AS "YOU OR YOUR") ONLY ON THE CONDITION THAT YOU ACCEPT ALL OF THE TERMS OF THIS LICENSE AGREEMENT. THIS IS A LEGAL AND ENFORCEABLE CONTRACT BETWEEN YOU AND ECUTEL. BY CLICKING ON THE "I AGREE" BUTTON OR OTHERWISE INDICATING ASSENT ELECTRONICALLY, OR LOADING THE SOFTWARE, YOU AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, CLICK ON THE "I DO NOT AGREE" BUTTON AND MAKE NO FURTHER USE OF THE SOFTWARE. LIMITED NON-EXCLUSIVE LICENSE You acknowledge that you are acquiring only a limited non-exclusive license to use the Software (the “License”). Subject to the terms and conditions of this Agreement, Ecutel reserves all right, title and interest in or to the Software and all trademarks, service marks, logos and trade names of Ecutel. You are licensed to use the run-time, executable version of the software components of the Software for the purpose of running IC2. No license is given to you for any source code associated with IC2. You agree that you, directly or indirectly, shall not reverse engineer, decompile, modify, or prepare derivative works of IC2. The License permits you to install the Server Software on one computer system at a time and make one copy for back-up purposes. You are permitted to support 25 seats with the Server Software and to install the Client Software on wireless handheld devices to support the 25 Seat License. Without payment of additional consideration to Ecutel, you may use the Software only for a term of thirty days. You agree not to make nor permit the making of any copies of the Software, its component parts, or its documentation except as authorized by this License Agreement or in writing by us. Without the prior written consent of Ecutel, you shall not sublicense, rent, lease or otherwise transfer possession of the Software to a third party. To the extent permitted by applicable law, Ecutel reserves all rights not expressly granted under this Agreement. NO WARRANTY YOU ACKNOWLEDGE AND AGREE THAT THE LICENSED SOFTWARE AND ANY SOFTWARE SECURITY FEATURES INCLUDED IN THE LICENSED SOFTWARE ARE PROVIDED TO YOU ON AN “AS IS” BASIS, WITHOUT ANY WARRANTY OF ANY KIND, INCLUDING WITHOUT LIMITATION THE WARRANTIES THAT THE LICENSED SOFTWARE IS FREE OF DEFECTS, MERCHANTABLE, FIT FOR A PARTICULAR PURPOSE OR NON-INFRINGING. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE LICENSED SOFTWARE IS BORNE BY YOU. LIMITATION OF LIABILITY UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL ECUTEL OR ITS SUPPLIERS OR DISTRIBUTORS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY DAMAGES OF ANY KIND ARISING OUT OF THE USE OR INABILITY TO USE THE LICENSED SOFTWARE OR ANY DATA SUPPLIED THEREWITH OR OTHERWISE OUT OF THIS AGREEMENT, REGARDLESS OF WHETHER THEY ARE DIRECT, INDIRECT, SPECIAL, INCIDENTIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT WILL ECUTEL BE LIABLE FOR ANY DAMAGES, EVEN IF ECUTEL IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY RESULTING FROM ECUTEL’S NEGLIGENCE TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION. TERMINATION. If you materially breach this License Agreement, we may terminate your right to use the Software by notice to you. You agree that, upon termination of the License, you will either return to us or destroy all copies of the Software in your possession. ENTIRE AGREEMENT This written License Agreement is the exclusive agreement between you and us concerning the Software and supersedes any and all prior oral or written agreements, negotiations, or other dealings between us concerning the Software. It may only be modified by a written agreement between Ecutel and you. This Agreement creates no obligations on the part of Ecutel other than as specifically set forth herein. Specifically, and without imitation, this Agreement creates no training, maintenance or service obligations on the part of Ecutel. This Agreement is effective upon the earlier of your check in the box marked “I Agree” or your use of the Software (provided that your acquisition of a copy of the Software was from us or our authorized representative); you agree that we need not sign this License Agreement in order for it to take effect. This License Agreement will be governed by the law of the State of Virginia and exclusive jurisdiction will reside in the courts of Fairfax County, Virginia. EXPORT RESTRICTIONS. You agree that you will not distribute, transmit, or transfer this copy of the Licensed Software except in compliance with U.S. export laws and regulations. By using the Licensed Software, you represent and warrant that you (i) are not located in, under the control of, or a national or resident of any country to which the U.S. has embargoed goods, or (ii) will not export or re-export the Licensed Software to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Commerce Department’s Table of Denial Orders. If the foregoing representation is not true, this agreement is void. U.S. GOVERNMENT RESTRICTED RIGHTS. The Licensed Software is considered to be “commercial computer software” pursuant to DFAR Section 227.7202 and FAR Section 12.212, as applicable. Use, duplication or disclosure of the Licensed Software is subject to the restrictions set forth in DFAR Section 227.7202 for military agencies, and FAR Section 12.212 for civilian agencies, and in any successor regulations thereto. NOTICES. All notices and return of the Licensed Software and Documentation should be delivered to: Ecutel Systems, Inc., 2300 Corporate Park Drive, Suite 410, Herndon, VA 20171 – Operations.
